Nigeria: The One-Stop Guide To Setting Up A Private Security Guard Company In Nigeria

In a bid to enhance the safety of lives and properties in Nigeria, private security companies have played an active role over the years. This sector has also been a major player in the provision of job opportunities for Nigerians. The National Bureau of Statistics in its 2019 Private Security Guards Data recorded that 1,110 registered private security companies employed at least 828,502 people in Nigeria from 2013 to 2018. This data was supplied by the Nigeria Security and Civil Defence Corps (NSCDC), the agency authorised by law to supervise private security guard companies in Nigeria.

This article provides requisite information concerning the legal requirements for setting up a private security guard company by virtue of  the Private Guard Companies Act, CAP P30, LFN 2004.

FIRST STAGE: REGISTRATION OF A LIMITED LIABILITY COMPANY

A private security guard company must be registered at the Corporate Affairs Commission (CAC) as a limited liability company. The company should have a minimum share capital of N10,000,000.00 (Ten Million Naira) with the object being the provision of private security services.

Requirements for the registration at the Corporate Affairs Commission.

  • Name: Two proposed names stipulating the preferred name and an Alternative name.
  • Address: The head office of the company and branch offices (if any).
  • Share capital: The share capital and shareholding formula among the shareholders.
  • Directors: Particulars of at least three (3) directors. This includes their phone numbers, email address, residential address, passport photograph, copies of their identity card, which could be National passport/National Identity card/Driver's licence or voters card.

Note: One of the directors of the company must be a retired military or paramilitary personnel, from the rank of Major or Commissioner, respectively. No foreigner should be a Director.

  • Secretary: Particulars of the Company secretary, passport photograph and means of identification.
  • Shareholders: Particulars of shareholders who will be the first subscribers of the company.
  • Memorandum and Articles of Association (MEMART): The CAC has a generic MEMART for new companies to adopt. However, due to the peculiarities involved in setting up a private security company, particularly some clauses to be included in the Articles, it is advisable to have a Legal Practitioner draft one.
  • Fees: Depending on the share capital, the applicant will pay filing fees to the CAC and Stamp Duties to the Federal Inland Revenue Service (FIRS). The applicant should also budget for Professional fees for the Legal Practitioner (CAC Accredited Agent) who would assist with the entire process.

Where all these requirements are in place, statutory CAC forms will be filled online and the company will be duly registered.

The second stage would be to obtain a Private Security Licence from the NSCDC.

SECOND STAGE: REGISTRATION OF THE COMPANY WITH THE NSCDC

Before a licence is granted to a registered private security company to operate, the company must register with the NSCDC. The requirements for a registered company to register with the NSCDC in order to obtain a private security licence have been spelt out by the NSCDC. They include:

  • Application for private guard licence addressed to the Commandant General of the NSCDC.
  • Evidence of company registration with a minimum of N10,000,000 authorized share capital and a minimum of 3 directors.
  • Certified True Copies of the Memorandum and Article of Association.
  • Photocopies of Certificate of Incorporation.
  • Tax Clearance Certificate.
  • Statement of account from the Bank.
  • Letter from a Legal Adviser.
  • Letter from an Auditor.
  • Letter from bankers.
  • Proposed training program.
  • Proposed salary structure.
  • Veterinary certificate (optional). This applies if there would be use of security animals.
  • Personal History Statement (PHS) forms at One Hundred Thousand Naira (N100,000) only. All directors must obtain one. PHS form must be adequately filled by the Directors stating 'Nil' or 'Not Applicable' at portions they do not have answers to, and no column should be left unfill
  • Two (2) copies of Academic credentials of directors to be attached with PHS form.
  • Eight (8) passport photographs for each of the Directors.
  • Eight (8) full photographs (postcard 5 x7 inches) of each of the Directors with a white background, with five fingers print and signature signed at the back of the postcard (photograph) in the presence of Nigeria Security and Civil Defence Corps Officers.
  • Photocopy of the signature page of the Directors in the international passport or National ID Card or Driver's Licence.
  • Attestation letters from 3 referees for each Directors.
  • One uniform sample (Complete set-shoes, clothes, cap) with a photograph of a guard in Uniform (2 copies). All uniforms and accoutrement must not have the semblance of any government agency or any other Private Guard Companies.
  • Application fee of N500,000.00 (Five Hundred Thousand Naira only).

All the above requirements must be complete before the NSCDC can assess the application for onward forwarding to the Presidency.

THIRD STAGE: OBTAINING A PRIVATE SECURITY LICENCE

The requirements in stage two above will be presented by the NSCDC to the Presidency for a final check and clearance of all the directors.

A letter of security clearance will be issued to NSCDC from the Presidency and the company will be invited to pay for the licence fees.

There are two categories of licence for private security guard companies.

THE LICENCE CATEGORIES

Category A : Under this category, the company can have more than 3000 guards. The Licence fee is N3,000,000 (Three Million Naira only).

Category B: Under this category, the company cannot have more than 3000 guards. The Licence fee is N2,000,000 (Two Million Naira only).

When the payment for licence under any of the categories is completed and the Commandant General of the NSCDC recommends the company, a licence may be approved by the Ministry and issued to the company.

UNDERSTANDING THE LICENSING AUTHORITY

By virtue of Section 2(1) of the Private Guard Companies Act, (PGC Act) an application for licence is made in writing through the licensing authority to the Minister of Internal Affairs. Section 3 of the Act authorizes the Minister to grant a licence only if he is satisfied that the grant is justified, having regard to national security and public interest.

At present, operations of private security guard companies are handled through the Ministry of Interior. The Ministry achieves this through the NSCDC. The NSCDC is required to recommend the registration of private guard companies to the Ministry by virtue of Section 3 of the NSCDC Act.

In order to achieve effectiveness in its duties, the NSCDC operates through its Private Guards Companies Department.

It is pertinent for Applicants for licence to know that it is only the authorities listed above that are involved in the licensing process. Applicants should therefore beware of fraudulent individuals.

RENEWAL OF A LICENCE

After the initial issuance of a licence to the security company, the company will be required to renew the licence three months before the expiration of the licence. (Section 11 of the PGC Act).

Section 11 (2) provides that "where the holder of a licence fails to renew such licence within the specified period, the licence shall stand revoked upon its expiry and such holder shall thereupon cease to operate as a private guard company".

Requirements of renewal

The requirements for the renewal of a licence are as follows:

  • Application Letter for Renewal of Operational Licence.
  • Last letter of Renewal or Copy of Licence.
  • Annual Performance Report (Report of activities of Company in the immediate preceding year).
  • Staff Return (Staff list, Designation and Salaries).
  • Current Tax Clearance Certificate.
  • Current Statement of Audited Account of the Company.
  • Evidence of Payment for renewal of the licence. The payment must be made into a designated Bank Account.

REGULATORY COMPLIANCE ISSUES FOR PRIVATE SECURITY COMPANIES

By the provisions of the PGC Act, private security companies are expected to comply strictly with all requirements of the law or risk revocation/withdrawal of their licence.

The following are expected of all private security guard companies:

  • Renewal of licence: Licence to operate a private security company must be renewed promptly. It is prohibited for a Company to operate with an expired licence.
  • Control and Administration: Part 2 of the PGC Act provides that every company shall keep complete records of its activities including all persons employed from time to time in carrying on the business of the company and make such records available to the regulatory authority whenever requested by the Ministry for inspection. Also, it prohibits private security companies and their personnel from bearing firearms or ammunition in the course of their duties and insists that their training syllabus and instructions must be approved for use by the Minister.
  • Prohibited activities and offences : Part 3 of the PGC Act provides a list of prohibited activities for PSCs. The prohibited activities include:
  • Acting as debt collectors, police officers, or "private detectives".
  • Divulging to outsiders, any information acquired in the course of duty.
  • Providing false information for the purpose of securing approval.
  • Acting as employee of any company that has not been licensed.
  • Improper dressing. Failure to carry identity card while on duty or wearing, carrying, or bearing any article that is prohibited is an offence.
  • Advertising business without specifying the name and address of the company as appearing in the licence.
  • Selling, disposing or renting the company's licence, approval or identity cards.
  • Unlawful entry into any premises by employees of the company.
  • Misrepresentation of facts, inducement or representation of false, misleading and deceptive statements.
  • It is prohibited for a private security company to evade tax. Before a licence is renewed, the Company must present their current tax clearance certificate.

Registering and running a private security company in Nigeria demands strict compliance with the laid down rules and regulations. The slightest departure from the established regulations could lead to the deregistration of the company or revocation of licence to operate. Therefore, it is strongly advisable for such companies to retain the services of a legal practitioner to assist them with issues of regulatory compliance and filling of annual returns/report with the appropriate agencies.

In a bid to enhance the safety of lives and properties in Nigeria, private security companies have played an active role over the years. This sector has also been a major player in the provision of job opportunities for Nigerians. The National Bureau of Statistics in its 2019 Private Security Guards Data recorded that 1,110 registered private security companies employed at least 828,502 people in Nigeria from 2013 to 2018. This data was supplied by the Nigeria Security and Civil Defence Corps (NSCDC), the agency authorised by law to supervise private security guard companies in Nigeria.

This article provides requisite information concerning the legal requirements for setting up a private security guard company by virtue of  the Private Guard Companies Act, CAP P30, LFN 2004.

FIRST STAGE: REGISTRATION OF A LIMITED LIABILITY COMPANY

A private security guard company must be registered at the Corporate Affairs Commission (CAC) as a limited liability company. The company should have a minimum share capital of N10,000,000.00 (Ten Million Naira) with the object being the provision of private security services.

Requirements for the registration at the Corporate Affairs Commission.

  • Name: Two proposed names stipulating the preferred name and an Alternative name.
  • Address: The head office of the company and branch offices (if any).
  • Share capital: The share capital and shareholding formula among the shareholders.
  • Directors: Particulars of at least three (3) directors. This includes their phone numbers, email address, residential address, passport photograph, copies of their identity card, which could be National passport/National Identity card/Driver’s licence or voters card.

Note: One of the directors of the company must be a retired military or paramilitary personnel, from the rank of Major or Commissioner, respectively. No foreigner should be a Director.

  • Secretary: Particulars of the Company secretary, passport photograph and means of identification.
  • Shareholders: Particulars of shareholders who will be the first subscribers of the company.
  • Memorandum and Articles of Association (MEMART): The CAC has a generic MEMART for new companies to adopt. However, due to the peculiarities involved in setting up a private security company, particularly some clauses to be included in the Articles, it is advisable to have a Legal Practitioner draft one.
  • Fees: Depending on the share capital, the applicant will pay filing fees to the CAC and Stamp Duties to the Federal Inland Revenue Service (FIRS). The applicant should also budget for Professional fees for the Legal Practitioner (CAC Accredited Agent) who would assist with the entire process.

Where all these requirements are in place, statutory CAC forms will be filled online and the company will be duly registered.

The second stage would be to obtain a Private Security Licence from the NSCDC.

SECOND STAGE: REGISTRATION OF THE COMPANY WITH THE NSCDC

Before a licence is granted to a registered private security company to operate, the company must register with the NSCDC. The requirements for a registered company to register with the NSCDC in order to obtain a private security licence have been spelt out by the NSCDC. They include:

  • Application for private guard licence addressed to the Commandant General of the NSCDC.
  • Evidence of company registration with a minimum of N10,000,000 authorized share capital and a minimum of 3 directors.

HOW TO REGISTER A PRIVATE SECURITY GUARD COMPANY IN NIGERIA

Here is a detailed guide on how to process the incorporation/registration of a private security guard company certificate/license in Nigeria with the Corporate Affairs Commission (CAC), Nigeria Security and Civil Defence Corps (NSCDC) and other relevant agencies of Government.

Incorporate your company : The first step in registering a private security company in Nigeria is to incorporate the business with the Corporate Affairs Commission (CAC). This can be done by filing the appropriate online forms and paying the required fee. Some of the necessary information required to complete the online forms are;

  • Names, residential addresses, sex, age, Nationality, phone no. and email addresses of the proposed DIRECTORS, SHAREHOLDERS, AND SECRETARY.
  • Share Capital (Which must be N10, 000,000 ordinary shares or above) Shareholding of the company (How the share capital is to be allotted to the shareholders)
  • Main objects of the company (To include providing private security services to clients)
  • Means of identification of the Directors and shareholders

Obtain a Tax Identification Number (TIN): After incorporation, the next step is to obtain a Tax Identification Number (TIN) from the Federal Inland Revenue Service (FIRS). This number is required for the processing of a Tax clearance certificate for NSCDC documentation and to file tax returns of the company

Register with the Nigerian Social Insurance Trust Fund (NSITF) : All companies operating in Nigeria are required to register with the Nigerian Social Insurance Trust Fund (NSITF) and make contributions for the welfare of their employees. This registration can be done online on the NSITF website.

Obtain a police clearance certificate : Before applying for an NSCDC license, the company’s management and proposed security personnel must obtain police clearance certificates from the Nigeria Police Force. This certificate verifies that the individual directors and security personnel have no criminal records.

Obtain an insurance cover: The Company must also obtain an insurance cover for its security personnel and operations. This can be done by contacting an insurance company and providing them with the necessary information about the company.

Apply for an NSCDC license : After completing the above steps, the next step is to apply for an NSCDC license. This can be done by visiting the nearest NSCDC office and submitting an application along with the following documents:

  • Application for private guard license addressed to the Commandant General
  • Evidence of company registration with a minimum of N10, 000,000 authorized share capital and a minimum of 3 directors. One of the directors must be a retired military officer or a top ranking retired police officer.
  • CTC of Memorandum and Article of Association (2 copies)
  • Photocopies of certificates of incorporation (2 copies)
  • Payment of prescribed fees
  • Tax Clearance Certificate
  • Statement of account
  • Letter from a legal adviser
  • Letter from an auditor
  • Proposed training program
  • Proposed salary structure
  • Veterinary certificate (optional)
  • Personal History Statement (PHS) forms at One Hundred Thousand Naira (N100, 000) only. All directors must obtain one.
  • Credentials of directors (2 copies) to be attached with PHS form.
  • Letter from bankers
  • Eight (8) passport photographs for each of the Directors
  • Eight (8) full photographs (postcard 5 x7 inches) of each of the Directors with a white background, with five fingers print and signature signed at the back of the postcard (photograph) in the presence of Nigeria Security and Civil Defence Corps Officers.
  • Photocopy of the signature page of the Directors international passport or National ID Card or Driver’s License and this should be stapled at the back cover of the file jacket.,
  • PHS form must be adequately filled by the Directors stating Nil or Not Applicable to portions they do not have answers to and no column should be left unfiled.
  • Attestation letters from referees for each Directors
  • One uniform sample with a photograph of a guard in Uniform (2 copies). All uniforms and accoutrement must not have the semblance of any government agency or similar to any other PGCs.
  • Application fee of N500, 000 (Five Hundred Thousand Naira).

Licensing Category and Fees– there are two categories of license. Separate licensing applicable for the categories are as follows:

For category A , you can have more than 3,000 guards. But apart from the application, you shall also pay N3, 000,000 (Three Million Naira) license fee

For category B , you cannot have more than 3,000 guards. The license fee is the sum of N2, 500,000 (Two Million Five Hundred Thousand Naira).

Attend an interview with NSCDC : Once the application and required documents have been submitted, the NSCDC will schedule an interview with the company’s management to discuss the proposed security operations and ensure that the company meets the necessary standards.

Undergo training : After the interview, the company must ensure that its security personnel undergo the necessary training and pass the NSCDC qualifying examination. This training will include topics such as security operations, weapons handling, and civil defence laws.

Pay the required fee: The NSCDC will then issue the license after the required fee is paid. This fee has been prescribed above.

Renew the license: The license must be renewed annually by paying the renewal fee and submitting a list of security personnel and their training records to the NSCDC.

It is important to note that the company is not allowed to provide security service without obtaining NSCDC License and also all security personnel must be trained and certified by the NSCDC. Additionally, it is important to comply with all relevant laws and regulations, including labour laws and regulations related to the welfare of security personnel.

When it comes to protecting the safety of lives and properties in Nigeria, several private companies out there have played significant roles over the decades. It should be noted that this industry has been very competitive in the aspect of providing job opportunities for Nigerians.

According to certain records, the National Bureau of Statistics in 2019 recorded over 1,110 registered private companies, employing around 828,502 applicants in Nigeria from 2013 to 2018. As a result, this shows how several people consider this job as a good-paying one.

Moreover, the information regarding the number of people employed by various companies was compiled and supplied by the Nigeria Security and Civil Defence Defence Corps (NSCDC), which serves as an agency that was authorized by law for the purpose of supervising private security guard companies in Nigeria.

This article offers relevant information that relates to the legal requirements for setting up a private security guard company by virtue of the Private Guard Companies Act, CAP P30, LFN 2004.

FIRST STAGE: REGISTRATION OF A LIMITED LIABILITY COMPANY

You should know that a security company has to be registered at the Corporate Affairs Commission (CAC) as a limited liability company. This is because the company is expected by law to have a minimum share capital of N10,000,000 (Ten Million Naira) with the object as the provision of private security services.

Requirements for registration at the Corporate Affairs Commission

  • Two proposed names have to be provided which stipulate the preferred name of the company or an alternate name.
  • The address of the head office and branch offices has to be provided.
  • There should also be a share capital and shareholding formula among the shareholders.
  • The company must have the particulars of at least three directors. This will their phone numbers, email addresses, residential addresses, passport photographs, copies of any of their identity card (driver’s license/voters card, national passport/national identity card)

It is also imperative to note that one or most of the directors of the company must be retired military or paramilitary personnel, and their rank must be the rank of Major or Commissioner. This is how the process works as no foreigner is allowed to become or act as a director.

  • Secretaries of the company must have particulars of the company, passport photographs, and any other possible means of identification.
  • Shareholders must also have particulars, who will act as the first subscribers of the company.
  • The Corporate Affairs Commission has A Memorandum and Articles of Association (MEMART) irrespective of new companies to employ and adopt. On the other hand, it is best to seek a legal practitioner to draft an article, due to the peculiarities coupled with setting up a security company in Nigeria.
  • Applicants are required to pay the filing fees to the CAC and Stamp Duties to the Federal Inland Revenue Services (FIRS). This is based on share capital. It is also important to make a budget for professional fees for the legal practitioner in offering assistance during the course of the process.

All these requirements as stated above should be in place, the statutory CAC forms will be filled online and the company will be duly registered. The next stage would be to focus on obtaining a Private Security Licence from the NSCDC.

SECOND STAGE: REGISTRATION OF THE COMPANY WITH THE NSCDC

Registering with the NSCDC is very vital for any security company before a license can be granted for operation. However, the NSCDC outlined the requirements every security company must meet before obtaining a private security license. They are stated below;

  • An application for a private guard license must be tendered to the NSCDC, which must be addressed to the Commandant General of the NSCDC.
  • There must be evidence of a company’s registration which involves a minimum of N10,000,000 paid up share capital and a minimum of 3 directors.
  • Every security company must provide certified True Copies of the Memorandum and Article of Association.
  • Photocopies of the Certificate of Incorporation must be provided.
  • Must provide Tax Clearance Certificate.
  • Must Obtain a statement of account from a bank.
  • A letter from a legal advisor has to be provided.
  • A letter from an Auditor must be provided.
  • Letter from Bankers.
  • Proposed training program.
  • The proposed salary structure must be provided.
  • Veterinary certificate (Optional) Applicable if security animals are used.
  • All directors must obtain Personal History Statements (PHS) forms. The price is One Hundred Thousand Naira (N100,000), which is very important for all directors to have one. This form has to be filled by the directors stating ‘Nil’ or ‘Not Applicable’ at portions they do not have specific answers to, and every column should be filled.
  •  There should also be two copies of the Academic credentials of directors to be attached to the PHS form.
  • Each director has to provide eight passport photographs.
  • This eight full photographs postcard should be sized 5 x 7 inches with a white background, five fingerprints, and a signature signed on the back of the postcard.
  • Must provide a photocopy of the signature page of the Directors in the International Passport, Drivers License, or National ID Card.
  • Every director must provide attestation letters from 3 referees each.
  • There should be one uniform sample. This involves how the security officer will be dressed when discharging duty. They include; a complete set of shoes, clothes, and a cap) Additionally, a photograph of a guard in uniform would serve as a sample, and all uniforms must not have the same appearance as any governmental agency or any other Private Guard Companies.
  • An application fee of Five Hundred Thousand Naira (N500,000) must be provided.

All the requirements mentioned above must be completed during the assessment of applications by the NSCDC which would be forwarded onward to the presidency.

THIRD STAGE: OBTAINING A PRIVATE SECURITY LICENCE

Note that all requirements stated in stage two will be presented by the NSCDC to the Presidency for final check and clearance of all the directors.

Additionally, the President will issue a letter containing security clearance to the NSCDC and the stated company will be invited to make payments as regards the license fees.

However, there are two categories of licenses for private security guard companies which will be stated below;

THE LICENCE CATEGORIES

Category A: Note that the company can have the capacity to have more than 3000 guards. The license fee is N3,000,000 (Three Million Naira Only)

Category B: Under this category, the company’s maximum amount of guards is only 3000 guards. The license fee here goes for N3,000,000 (Three Million Naira Only)

Importantly, A license may be approved by the Ministry and issued by the company if the payment for a license under any of the categories is completed and the Commandant General of the NSCDC recommends the company.

UNDERSTANDING THE LICENSING AUTHORITY

According to Section 2(1) of the Private Guard Companies Act, (PGC Act) A formal application for a license is submitted to the Minister of Internal Affairs through the licensing authority. Section 3 of the Act allows the Minister to give a permit only if he believes it is justified in terms of national security and public interest.

Private security guard operations are currently managed by the Ministry of Interior. The NSCDC helps the Ministry do this. By virtue of Section 3 of the NSCDC Act, the NSCDC is required to recommend to the Ministry the registration of private guard companies.

The NSCDC functions through its Private Guards Companies Department to be effective in its duties. The licensing process only involves the agencies mentioned above, so it is important for license applicants to be aware of this. Therefore, applicants should watch out for scammers.

RENEWAL OF A LICENSE

The security company must renew its license three months before it expires following the first issuance of the license to the company.

Section 11 (2) provides that “where the holder of a license fails to renew such license within the specified period, the license shall stand revoked upon its expiry and the such holder shall thereupon cease to operate as a private guard company”.

REQUIREMENTS FOR RENEWAL

Below are the requirements for the renewal of a license, which will be stated below;

  • Application Letter for Renewal of Operational License.
  • Last Letter of Renewal or Copy of License.
  • Annual Performance Report (Report of activities of the company in the preceding year).
  • Current Tax Clearance Certificate.
  • Evidence of Payment for renewal of the license. Note that this payment method must be transacted into a designated bank account.
  • Current statement of Audited Account of the Company.
  • Staff Return (Staff list, Designation, and Salaries).

There are strict rules and regulations when registering and running a private security company in Nigeria which every company must comply with. These rules are strict to the extent that even when there is a slight departure from the established regulations stated, it could lead to the disintegration of the company or revocation of the operating license.

Therefore, every company should make a smart move by retaining the services of a legal practitioner to assist them concerning issues of regulatory compliance and filing of yearly returns/reports with the appropriate agencies.

Private security company license and registration.

The private security guard companies are supervised by the Nigerian Security and the Civil Defense Corps (NSCDC). The procedure for how to register a security guard company in Nigeria must be commenced with the registration of a private limited liability company.

Most individuals and corporate organizations now require the services of private security companies in addition to the public security services provided by the Nigerian Police Force and the Nigerian Security and the Civil Defense Corps.

Private security companies are non- governmental owned companies which provide security and protection to individuals and organizations who employ their services.

Two Important Steps for Setting Up Private Security Companies in Nigeria:

  • To commence a private security company in Nigeria, a company with a minimum of N10,000,000 (Ten Million Naira) authorized share capital must be registered with the Corporate Affairs Commission (CAC).
  • The NSCDC is charged with the responsibility of licensing, monitoring and the supervision of private securities companies in Nigeria according to Section 3 of the Nigeria Security and Civil Defense Corp Act No. 2 of 2003.

Requirements for the registration of a private security company with the CAC:

  • The proposed name of the private security company (2 names must be submitted)
  • The address of the private security company
  • The objectives of the private security company.
  • Particulars of the 2 directors and shareholders of the company ( this include copies of their identification card, which could be National passport/National Identity card/Driver’s license or voters card)
  • Phone numbers, email address and residential address of the 2 directors and shareholders.
